What happens to the old Play 5, when I upgrade to Five using the upgrade credit? I don’t need it, but Sonos does not appear to want it back.

Keep it or sell it. If you sell it be sure to make it clear that the upgrade credit has been used.
And if you choose to ‘throw it away’, please drop it off at an appropriate e-recycling facility near you.
